Angels Terms and Conditions

Please ensure you have read and understood the terms and conditions before submitting your initial application and before you become a contractor for ShopAngels.  This section provides our complete entire terms and conditions and so may repeat information published elsewhere on the ShopAngels website.

Payment and tax requirements

  • You are required to have a Paypal account as this is how we pay our shoppers. Please visit www.paypal.com.au in Australia, www.paypal.co.nz in New Zealand, www.paypal.com.sg in Singapore or www.paypal.com.hk in Hong Kong for further details and to create your account.
  • All pop-up blockers must be turned off.
  • AUSTRALIAN APPLICANTS - If you do not have an ABN, you must list this as a hobby or complete a statement by supplier form. Please talk to your accountant about your individual circumstances, as we are unable to advise you of your taxation reporting requirements.
  • NEW ZEALAND APPLICANTS - Please see the Shopper FAQs. You will be required to advise your Inland Revenue Department before undertaking your first assignment.
  • SINGAPORE AND HONG KONG APPLICANTS – Please talk to your account about your individual circumstances, as we are unable to advise you of your taxation requirements.
  • Payments: ShopAngels will be responsible for the payment of jobs performed to the agreed value as specified on your assignment documentation.
  • Method of Payment - We will deposit your payment and any reimbursements directly into your PayPal account approximately 30 working days after the receipt of the completed surveys and reimbursement receipt (if applicable).
  • Incorrect PayPal Information – Please be advised that should you provide ShopAngels with the incorrect payment information, causing us to need to cancel a payment at a later stage and resend, contact you for correct payment information or hold your payment record until correct information is given an administration fee of $5 will be withheld from your payment amount. Should you provide us with the incorrect payment information and we are unable to cancel payment and return funds, we will not be held liable and your payment will be forfeited.

Contractor information – what we expect from you

Our clients are the reason for our existence and the standard of service that we provide to them is vital to our success. Following are some of the basic standards we expect you to meet:

  • We expect that you will turn up on time for each assignment. If there are unforeseen circumstances that prevent you from attending a job site you must contact Head Office immediately.
  • You will be expected to carefully review and remember the questions / instructions of each assignment. We expect you to be discreet at all times when visiting a client's site. If you need to take notes, please do so in a change room or a private location. Under no circumstances must the store you are evaluating know that you are a mystery shopper.
  • All reports must be completed accurately and submitted within 8 hours of completing the assignment.
  • Any change to your personal details must be updated by yourself within your profile at the earliest opportunity.

General procedures

  • You will be notified of jobs via email or web site, all jobs must be accepted or declined within 24 hours of the job being allocated otherwise the job may be allocated to another shopper, without further notice.
  • Jobs will be assigned to the Mystery Shopper best suited to the job specifics i.e. customer request, highly graded shopper etc.
  • All instructions from the client must be adhered to, no variations will be accepted. Failure to follow the client's instructions may result in non payment for the assignment.
  • All reimbursement receipts must be faxed or emailed to Head Office on the same day as the completed survey is submitted (if applicable).
  • All Contractors are to keep a copy of all reports and receipts for a period of twelve (12) months
  • Surveys must be submitted within eight (8) hours of completing the assignment, failure to do so may result in non payment for the assignment.
  • Random Mystery Shops may occur on ShopAngels sub-contractors.
  • Completion of all surveys must be clear and concise. Failure to do so may result in non payment for the assignment.
  • Shop Instructions and required scenarios are to be followed EXACTLY unless otherwise specified by ShopAngels Management. Failure to do so may result in non payment for the assignment.

Use of alcohol and drugs

  • It is our expectation that at all times you will behave in a professional manner; therefore you must not attend a site under the influence of alcohol or drugs nor are you permitted to consume or be in possession of alcohol or drugs whilst undertaking an assignment.
  • Specific job requirements may involve consumption of alcohol within reason, such as mystery shopping a restaurant or bar. You must always drink responsibly and must not allow yourself to become intoxicated.
  • Failure to comply with this will result in your contract being terminated and non payment for the assignment.

Confidential information

I understand that during my employment with SHOPANGELS, I will become aware of information about SHOPANGELS, its businesses, customers, business partners and suppliers, and that this information is to be treated as confidential to ("Confidential Information").

For the purposes of this undertaking, Confidential Information includes, without limitation:

  • emails and other documents which are prepared for internal use, whether stored in printed form, electronically or otherwise, formal or informal in nature;
  • information, including records and documents, regarding customers, internal procedures, processes and systems;
  • information obtained verbally, whether in formal meetings, by telephone or in any other way;
  • training materials and any information contained in the materials;
  • information relating to new business concepts;
  • information relating to new technologies or know-how; and
  • all information that is designated as confidential by SHOPANGELS or is not already clearly in the public domain,

unless such information is readily available to the public other than as a result of a breach by me of my obligations under this undertaking.

I acknowledge that the Confidential Information is extremely valuable to SHOPANGELS and that its unauthorised use or disclosure is likely to cause damage, loss to, or liability for SHOPANGELS and/or those other entities.

I agree:

  • to use the Confidential Information solely for the proper purposes of my authorised duties as a contractor to SHOPANGELS;
  • to preserve the secrecy and confidentiality of the Confidential Information and comply with SHOPANGELS security guidelines and other policies and procedures as they apply from time to time;
  • not to disclose the Confidential Information except on a need-to-know and confidential basis to other employees of SHOPANGELS, or other duly authorised recipients on a confidential basis;
  • not to use or modify any Confidential Information for my own or a third party's benefit; and
  • to comply with the confidentiality obligations in the SHOPANGELS Code of Conduct. 

Intellectual property rights

I also agree that:

  • All intellectual property produced by me in the course of my contract will be the absolute property of the company.
  • I must do all things that the company may reasonably require for the evidence and to document ownership of intellectual property produced as a result of or in the course of your employment.
  • During the period of my contract, whether presently existing or arising after the date of this undertaking ("Assigned Intellectual Property Rights"):
    i. the Assigned Intellectual Property Rights vest in SHOPANGELS immediately upon creation or acquisition by me; and
    ii. I will do all things reasonable to perfect the assignment to SHOPANGELS of the Assigned Intellectual Property Rights and to assist SHOPANGELS in obtaining registration (where applicable) and in bringing or defending any infringement clauses or actions in relation to those rights.

I confirm that I am aware of my moral rights under the Copyright Act 1968 (Cth). To the fullest extent permitted by law in relation to any work containing the Assigned Intellectual Property Rights in which I have moral rights (collectively "Works"), I irrevocably and unconditionally consent to SHOPANGELS reproducing, adapting, publishing, performing, exhibiting, communicating or transmitting all or any part of the Works or any adaptation of the Works (authorising any of these things to be done for the benefit of SHOPANGELS) anywhere in the world in whatever form and in whatever circumstances SHOPANGELS thinks fit; and without identifying me or any other person, for any purpose whatsoever, whether such acts or omissions occur before or after the date of this undertaking

In this undertaking, "Intellectual Property Rights" means all present and future intellectual and industrial property rights conferred by statute, at common law or in equity anywhere in the world, including (without limitation):

  • patents, designs, copyright, rights in circuit layouts, plant breeders' rights, trade marks, know-how, brand names, domain names, inventions, product names, trade secrets, the right to have confidential information kept confidential and other results of intellectual effort in connection with my employment, whether or not registered or capable of registration;
  • all registrations of and rights to register, the above rights; and
  • all renewals and extensions of these rights.

Cessation of contract

When I cease to be a contractor to SHOPANGELS for any reason, I will return to SHOPANGELS all original and copied materials containing Confidential Information which are in my possession or control. For these purposes, "materials" includes documents, computer tapes and discs and any other means of storage from which any Confidential Information can be reproduced. My obligations under this undertaking will continue to apply at all times (including after cessation of my contract) and are given for the benefit of SHOPANGELS and each of its related bodies corporate.

Independent contractors agreement

I agree that I am a sub-contractor of ShopAngels and not an employee of ShopAngels. I also agree to the following points:

  • I agree that as a sub-contractor, ShopAngels is not liable for any events of personal injury or liability caused by or experienced by me while completing work on behalf of ShopAngels.
  • I acknowledge & agree to provide ShopAngels with my ABN number if applicable and that I am responsible for meeting any Australian Taxation Office (ATO) obligations in regards to paying income tax (if applicable). If I do not have an ABN, I agree that this is a hobby based activity and any payments received will be reported to the Australian Taxation Office (ATO) as part of meeting my income taxation obligations.
  • I understand I will require a pay pal account email address to receive payments from ShopAngels for assignments I have completed.
  • I acknowledge that I am responsible for personal superannuation contributions (if applicable).
  • I understand that ShopAngels can terminate its relationship with me and remove me from the database at anytime for any reason without prior notification.
  • I understand that failure to comply with these instructions may result in me not getting paid for work completed. I understand that payment will be made 30 days after completing a valid assignment. I understand that ShopAngels pays all sub-contractors via pay pal and that it is my responsibility to provide my pay pal account email address to ShopAngels in order to be paid for work completion.
  • If I am a NEW ZEALAND shopper, I agree to notify the New Zealand Revenue Department that I will be commencing self employment and I will complete a IR3 form and send it back to NZRD (NZRD will send form annually).
  • If I am a SINGAPORE OR HONG KONG shopper, I agree talk to my account about my individual circumstances, and report as per the legal taxation requirements in my country.
